2. Purpose and description of the service

Todolux (hereinafter, "the Platform") is a professional platform for the search, indexing, comparison and discovery of technical and architectural lighting products, oriented to industry professionals: lighting studios, architects, engineers, installers, distributors, manufacturers and other companies related to the lighting sector.

The Platform aggregates and organises technical and commercial information on luminaires sourced from manufacturers, brands and other industry sources, with the purpose of facilitating comparative consultation, technical documentation, product discovery and contact between actors of the value chain.

The Platform's main features include, among others:

Aggregated catalogue of manufacturers, brands and product families.
Advanced search and filtering by luminaire type, application, power, colour temperature (CCT), ingress protection rating and other technical parameters.
Comparative product sheets and, when available, downloads of technical documentation.
Lighting project management for registered professionals.
Directory of manufacturers and distributors with contact information and areas of activity.
Editorial content related to the professional lighting sector.

The Platform operates as an information society service provider under the LSSI-CE and Directive 2000/31/EC, maintaining a neutral and merely technical role with regard to content hosted or referenced from third parties.

Accessing and using the Platform confers user status and implies full and unreserved acceptance of all conditions included in this legal notice. If the user does not agree with these conditions, they must refrain from using the Platform.

3. Terms of use

The user agrees to:

Use the Platform properly and lawfully, in accordance with current legislation, morality, good customs and public order.
Not use the Platform for unlawful purposes, harmful to the rights and interests of third parties, or that may in any way damage, disable, overload or impair the Platform.
Not introduce or spread computer viruses or any other systems that may cause damage.
Not attempt to access, use or manipulate the data of other users or third parties.
Not reproduce, copy, distribute, make available, publicly communicate or systematically extract the Platform's content without express authorisation, in particular by means of scraping, mirroring, mass data mining or reuse of its database.

4. User registration

Certain features of the Platform require prior registration. The user guarantees that the information provided during registration is truthful, complete and up to date, and is responsible for any damage that may arise from inaccurate data.

The user is responsible for maintaining the confidentiality of their access credentials and for all activities carried out from their account.

5. Intellectual and industrial property over the Platform as a whole

The selection, organisation, design, source code, graphic interface, database, classification criteria, filter system, original editorial content and other elements created by Todolux Ingeniería S.L. are the exclusive property of Todolux Ingeniería S.L. or of third parties who have authorised their use, and are protected by intellectual and industrial property laws as well as, where applicable, by the sui generis database right under Royal Legislative Decree 1/1996 and Directive 96/9/EC.

Reproduction, distribution, public communication, transformation, extraction, reuse or any other form of exploitation of the Platform as a whole, or of substantial parts of it, without the prior express written authorisation of the rights holder is prohibited.

The ownership regime of third-party manufacturer and brand content is specifically governed by clause 6 of these Terms.

6. Manufacturer content, trademarks and referential use

6.1. Source and nature of the content

The Platform indexes, systematises and displays technical and commercial information relating to manufacturers and brands of the lighting sector. Such information is mainly sourced from publicly available channels, including, by way of example and not limitation:

Commercial catalogues and technical sheets published by the manufacturers themselves on their official websites, public portals or open channels.
Publicly available technical datasheets.
Marketing and corporate communication materials published openly by the rights holders.
Information voluntarily provided by manufacturers, brands, distributors or their representatives through registration and direct editing on the Platform.
Information contributed by professional users about market products.

6.2. Indexing without prior express consent

The user acknowledges and accepts that the initial registration and indexing of a manufacturer, brand or product on the Platform may be carried out WITHOUT the prior express consent of the rights holder when the information comes exclusively from public sources and/or objective product information, to the extent that:

The purpose is exclusively informative, descriptive, documentary and comparative, with no direct commercial exploitation of the referenced products.
The activity of indexing and comparing professional information that is publicly available is supported by freedom of information and by the legitimate interest of professionals in the sector in accessing organised technical information.
The Platform makes available at all times effective mechanisms for the rights holder to claim ownership, request rectification or request the removal of their content (clause 6.5).

This practice is common and well known in platforms for comparison, aggregation and indexing of professional products, and is analogous to the activity of specialised search engines and aggregators.

6.3. Referential use of trademarks and distinctive signs

The use of trade names, brand names, logos, model references, family names and other distinctive signs of manufacturers on the Platform is exclusively descriptive and referential, and is supported by:

Article 37 of Spanish Law 17/2001, of December 7, on Trademarks, which permits use of the trademark by third parties for descriptive or product identification purposes.
Article 14 of Regulation (EU) 2017/1001 on the European Union Trade Mark, concerning limitations of the effects of a trademark.
Case law on nominative or referential use of trademarks where this is necessary to indicate the intended purpose or nature of the product or service.

The use of such signs on the Platform shall in no case imply:

A commercial relationship, association, sponsorship, authorisation or official representation between Todolux Ingeniería S.L. and the manufacturers or brands mentioned.
Direct distribution, sale, installation or commercialisation of the products by the Platform.
Verification, certification, endorsement or technical validation of the published specifications, which are the sole responsibility of the manufacturer.

All trademarks, trade names, logos, designations, product photographs, renders, drawings and other distinctive signs or marketing materials belong to their respective owners and are used solely for the unequivocal identification of the product and brand to which they refer.

6.4. Limitation of liability regarding manufacturer content

Todolux Ingeniería S.L. does not guarantee the accuracy, completeness or currency of the technical information of manufacturers' products displayed on the Platform. The official and technically binding information is always the one published by the manufacturer through its official channels. The user is advised to verify critical data directly with the manufacturer or authorised distributor before adopting specification, purchasing or installation decisions.

Todolux Ingeniería S.L. is not liable for any discrepancies between the information displayed on the Platform and the manufacturer's official documentation, nor for any damage arising from such discrepancies.

6.5. Notification, claim and removal procedure (notice and takedown)

Any manufacturer, brand, distributor or legitimate rights holder may contact the Platform in order to:

Claim the content relating to their company, brand or products and take ownership of the profile to manage it directly, which will allow them to update and complete the information.
Request the rectification of technical data, images, descriptions or references that they consider inaccurate, outdated, incomplete or incorrect.
Request the removal of all or part of their content where there is legitimate cause, including infringement of intellectual or industrial property rights, publication of confidential information, attribution errors, brand conflicts or other justified reasons.
Opt out of the indexing of their brand or products, in which case Todolux Ingeniería S.L. will proceed to remove the content under the terms described.

Requests must be sent to the email address legal@todo-lux.com indicating, at a minimum:

Identification of the requester and, where applicable, evidence of representation or ownership of the rights invoked.
Unequivocal identification of the content subject to the request, including URL, brand name or product reference.
Reason for the request and, where applicable, documentary evidence supporting the alleged facts.
Specific request (claim of ownership, rectification, partial or total removal, opt-out).

Todolux Ingeniería S.L. will address legitimate requests within a maximum period of fifteen (15) calendar days from receipt of the complete documentation, without prejudice to shorter legal periods where applicable. Where the request requires further checks, Todolux Ingeniería S.L. may request additional information from the requester, the deadline being suspended for the time needed for such verification.

7. Links to third-party sites

The Platform may contain links to third-party websites, including the official sites of manufacturers, distributors and other entities in the sector. Todolux Ingeniería S.L. is not responsible for the content, accuracy, availability or privacy policies of such sites, navigation of which is carried out under the user's sole responsibility.

8. Disclaimer of warranties and liability

Todolux Ingeniería S.L. does not guarantee the uninterrupted availability and continuity of the Platform's operation. When reasonably possible, prior notice will be given of scheduled interruptions of service.

Todolux Ingeniería S.L. is not liable for:

Damages caused by the lack of truthfulness, accuracy, completeness or timeliness of third-party product technical information.
Damages arising from the use that users make of the Platform's content.
Failures and incidents that may occur in communications, deletions or incomplete transmissions.
Specification, purchasing or installation decisions adopted by the user on the basis of information provided on the Platform.
Content posted by registered users (profiles, projects, comments or others), in respect of which Todolux Ingeniería S.L. acts as an intermediary service provider under Article 16 of the LSSI-CE.

9. Modification of terms

Todolux Ingeniería S.L. reserves the right to modify these terms of use at any time. Changes will take effect from the moment of their publication on the Platform, without prejudice to the duty to inform registered users when the changes are substantial.

10. Applicable law and jurisdiction

These terms are governed by Spanish law. For any dispute arising from access to or use of the Platform, the parties submit to the courts of the registered address of Todolux Ingeniería S.L., unless applicable law provides otherwise, in particular when the user qualifies as a consumer.
